The Nomination Committee\u2019s task is to prepare proposals for the Annual General Meeting regarding the chair of the meeting, the number of board members, remuneration for the chair and members of the board, the election of the board and the chair of the board, remuneration for the auditor and the election of the auditor, and, to the extent deemed necessary, proposals for amendments to the Nomination Committee\u2019s terms of reference.<\/p>\n

At an extraordinary general meeting in June 2024, KB Components AB adopted terms of reference for the appointment of the Nomination Committee, which shall remain in force until the general meeting decides otherwise. According to these terms of reference, the company shall have a Nomination Committee comprising one representative each from the three largest shareholders in terms of voting rights, based on information from Euroclear Sweden AB on the last banking day in October each year. In addition to these three members, the company\u2019s Chairman of the Board shall be a co-opted member of the Nomination Committee and shall coordinate the process of appointing the members of the Nomination Committee.<\/p>\n
